Strike Price
Price that the option grantee must pay to acquire the shares at the moment of exercise.
Cliff
Time period after which the first portion of a grant vests (usually 1 year.)
NSO
Non-Qualified Stock Options, i.e. options that don’t benefit from a preferred tax treatment.
FMV
Fair Market Value of common shares that is used to set the strike price of the options granted.
Vesting
Schedule that determines when an option holder may exercise its options (usually over 4 years, with a 1 year cliff and a monthly vesting)
ISO
Incentive Stock Options, i.e. tax favoured options subject to strict limitations and for US employees only.
PTEP
Period following the end of service relationship with a grantee, during which the grantee may exercise its stock options.
Early exercise
Exercising even before vesting options, on the expectation that the value of the stock will increase in the future.
Fully diluted
All shares issued by a company, including those which are not allocated yet, such as shares subject to options or that would result from a SAFE or convertible note conversion.
